Terms of Service

Welcome to Forma Health. These Terms of Service ("Terms") are a legal agreement between you and Forma Health, Inc. ("Forma Health," "we," "our," or "us"). They govern your use of our mobile application ("App") and related technology services (together, the "Services").

Please read these Terms and our Privacy Policy carefully before using the Services.

Important Arbitration Notice:

PLEASE READ SECTION 17 CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

1. Agreement to These Terms

By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other reasonable means. Your continued use of the Services after an update constitutes acceptance of the revised Terms. If you disagree with any update, you should stop using the Services and delete your account.

2. Who May Use the Services

2a. Age Requirement

You must be at least 18 years old to create an account and use the Services.

2b. Caregivers Acting on Behalf of Minors

If you are a parent or legal guardian, you may use the Services to enter and manage health information on behalf of a minor (a person under 18). By doing so, you represent and warrant that:

  • You have legal authority (as parent or legal guardian) to act on the minor's behalf.
  • You accept these Terms on the minor's behalf and take full responsibility for all data entered and activities conducted through the account related to that minor.
  • You will comply with all applicable laws regarding the collection and use of a minor's health information.
  • The caregiver account holder controls all data associated with the minor and is the sole point of contact for data-related requests (access, correction, deletion).

2c. Account Responsibilities

You agree to provide accurate, complete, and current information when creating your account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@formahealth.io if you believe your account has been compromised.

3. What Forma Health Is — and Is Not

Forma Health is a technology company. We provide tools that help you track, manage, and share health information. We are not a healthcare provider, and the Services do not constitute medical advice, diagnosis, or treatment.

By using the Services, you are establishing a customer relationship with Forma Health — not a doctor-patient or healthcare provider-patient relationship. You should always consult a qualified healthcare professional for medical decisions.

If you think you may have a medical emergency, call 911 or your local emergency number immediately.

4. AI-Generated Content

The Services may use artificial intelligence and automated algorithms (including large language models) to process, summarize, or organize the information you provide — for example, generating structured notes from voice entries.

You should understand the following about AI-generated content:

  • It is provided for informational convenience only and may contain errors or inaccuracies.
  • It is not a substitute for professional medical judgment.
  • It should not be used as the sole basis for any healthcare decision.
  • It may be generated by third-party AI providers operating under contract with Forma Health.

You assume all risk from reliance on AI-generated content. We encourage you to review any AI-generated summaries and to consult your healthcare provider with questions.

5. Your Content

5a. What "User Content" Means

User Content includes any information, data, text, images, audio, files, medical records, lab results, self-report measures, or other materials that you submit or make available through the Services.

5b. You Own Your Content

Forma Health does not claim ownership of your User Content. You retain all rights to it.

5c. License You Grant Us

By submitting User Content, you grant Forma Health a non-exclusive, worldwide, royalty-free, transferable license (with the right to sublicense) to use, copy, process, modify, and display your User Content solely for the purposes of:

  • Operating, maintaining, and improving the Services.
  • Providing features you request (such as generating summaries or reports).
  • Training and improving our AI models and algorithms used in connection with the Services.

This license is subject to applicable privacy laws and our Privacy Policy. We will not sell your User Content to third parties.

5d. Your Responsibility for User Content

You are solely responsible for the User Content you submit. You represent that you have all necessary rights to grant the license above and that your User Content does not violate any third party's rights or any applicable law.

5e. Health Data of Others

If you enter health information about another person (such as a minor in your care), you represent that you have legal authority to do so and that you accept full responsibility for that data.

6. Account Deletion and Data Retention

6a. How to Delete Your Account

You may delete your account at any time by using the account deletion feature within the App or by emailing us at support@formahealth.io. We will process your request within a reasonable timeframe.

6b. What Happens After Deletion

Upon account deletion, we will delete or de-identify your personal information in accordance with our Privacy Policy and applicable law. However, please note:

  • We may retain certain medical records as required by applicable healthcare record-retention laws.
  • Anonymized or aggregated data that can no longer identify you may be retained.
  • Copies of User Content that were shared with or transmitted to third parties (such as researchers or healthcare providers at your direction) may persist outside our systems.

7. Payments

The Services are currently free. If we introduce paid features in the future, we will provide you with advance notice of applicable fees and terms before charging you. Any in-app purchases will be processed through the applicable App Store and are subject to that App Store's payment terms.

8. Intellectual Property

8a. Our Rights

Forma Health and its licensors own all rights, title, and interest in the Services, including all software, designs, trademarks, and other intellectual property. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent.

8b. Your License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal devices for your own non-commercial purposes. You may not:

  • Copy, modify, or create derivative works of the App.
  • Distribute, sell, lease, or sublicense the App.
  • Reverse engineer, decompile, or disassemble the App (except where applicable law expressly permits).
  • Make the App available to multiple users through any means.

8c. Feedback

If you provide us with suggestions, ideas, or feedback about the Services, you agree that we may use that feedback freely, without restriction or compensation to you.

9. Prohibited Conduct

You agree not to:

  • Submit health data about another person without legal authority to do so.
  • Use the Services for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Interfere with the security, integrity, or performance of the Services.
  • Scrape, crawl, or use automated tools to extract data from the Services.
  • Impersonate another person or misrepresent your identity.
  • Send spam, unsolicited messages, or promotional materials through the Services.
  • Remove or alter any proprietary notices on the Services.

We reserve the right to investigate and take appropriate action — including suspending or terminating your account — if we believe you have violated these Terms.

10. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, content, or services. We do not control and are not responsible for third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and privacy policy.

11. App Store Terms

If you downloaded the App from the Apple App Store, Google Play, or another app marketplace (each, an "App Store"), the following additional terms apply:

  • These Terms are between you and Forma Health, not the App Store. The App Store has no obligation to provide maintenance, support, or warranty for the App.
  • If the App fails to conform to any applicable warranty, you may notify the App Store for a refund of the purchase price (if any). The App Store has no other warranty obligation.
  • The App Store is not responsible for addressing any claims related to the App, including product liability, legal compliance, or intellectual property claims.
  • The App Store and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. government restricted-parties list.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may cancel your account as described in Section 6a.

Upon termination, the following sections survive: 3, 4, 5, 6b, 8, 13, 14, 15, 16, 17, and 18.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CONTENT PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMA HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO FORMA HEALTH IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Forma Health and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third party's rights.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to the arbitration provisions below, any legal action must be brought in the state or federal courts located in Santa Clara County, California, and you consent to the jurisdiction of those courts.

17. Dispute Resolution and Arbitration

17a. Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Forma Health agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Disputes") will be resolved through binding, individual arbitration under the Federal Arbitration Act — not in court and not through a class action.

By agreeing to these Terms, you waive your right to a jury trial and your right to participate in a class action.

17b. Exceptions

Either party may: (a) bring a qualifying claim in small claims court, or (b) seek injunctive or equitable relief in court to protect intellectual property rights.

17c. Arbitration Process

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You may initiate arbitration by submitting a written Demand for Arbitration to AAA (forms available at www.adr.org). Hearings will take place in the county where you reside unless both parties agree otherwise.

17d. Arbitration Costs

Filing and arbitrator fees are governed by the AAA Rules. Forma Health will not seek to recover administration or arbitrator fees unless the arbitrator finds your claim frivolous. If you prevail, you may recover attorneys' fees as permitted by law.

17e. Class Action Waiver

YOU AND FORMA HEALTH EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION SECTION (SECTION 17) IS VOID.

18. General Provisions

18a. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forma Health regarding the Services and supersede all prior agreements.

18b. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

18c. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18d. Assignment

You may not assign or transfer these Terms without our prior written consent. Forma Health may assign these Terms freely.

18e. Notices

We may send notices to you by email or through the App. Notices sent by email are deemed received on the date sent.

This Terms of Service is effective as of the date listed above and applies to all use of the Services on or after that date.
